These Terms of Service ("Terms") govern your access to and use of the website, community platform, and services ("Services" and "Platform") provided by Sophron® ("Sophron", "we", "us", or "our"), the legal entity behind the Amsterdam Investment Club ("AIC"). Sophron primarily operates as an organizer of networking and educational events and may act as an affiliate for third-party partners.
By visiting our website, creating an account, or registering for an event, you agree to be bound by these Terms. If you do not agree, you may not access our Services.
By agreeing to these Terms of Service, you represent that you are at least 18 years of age. If you are under the age of 18, you confirm that you have obtained explicit consent from your parent or legal guardian to use this Platform. We reserve the right to refuse the Platform or Service to anyone, particularly in cases where an individual violates our community standards or code of conduct.
We are constantly improving our services. We reserve the right to modify or discontinue parts of the Service to better serve the community without notice at any time. Prices for our memberships and events are subject to change. For recurring memberships, we will provide you with reasonable prior notice of any price changes.
We provide access to networking events, educational resources, and recruitment opportunities available online and offline. These Services and events often have limited capacity, and we reserve the right to limit sales or registrations to any person, geographic region, or specific target group on a case-by-case basis. We strive to describe our events and Services as accurately as possible. However, we do not warrant that the quality of any Services, information, or other material obtained by you will strictly meet your personal expectations. All descriptions of Services and events are subject to change at any time without notice at our sole discretion, specifically regarding changes to the speaker lineup, dates, or venue.
We reserve the right to refuse any booking or membership registration if it violates our admission criteria. We may, in our sole discretion, limit or cancel the number of tickets purchased per person or per order to ensure fair access. In the event that we make a change to or cancel a booking, we will attempt to notify you via the email or phone number provided at the time of booking. You agree to provide current, complete, and accurate purchase and account information for all interactions with our Platform. It is your strict obligation to promptly update your account information, so that we can complete your transactions and contact you as needed.
We may provide you with access to third-party products or tools over which we neither monitor nor have any control. You acknowledge and agree that we provide access to such tools or products "as is" and "as available" without any warranties or endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools or products. Any use by you of such tools or products is entirely at your own risk..
Certain content, products, and services available via our Service may include materials from third parties, including corporate partners and sponsors. As an affiliate, Sophron may receive a commission or compensation for purchases made through links to third-party partners. Third-party links on this site may direct you to external websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy of these sites. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, or content made in connection with any third-party websites. Please review the third-party's policies carefully before you engage in any transaction.
If you send submissions (e.g., contest entries, pitch decks) or creative ideas, suggestions, or proposals (collectively, 'Comments'), you grant Sophron a non-exclusive, royalty-free, perpetual, and worldwide license to use, edit, copy, publish, and distribute any Comments you forward to us for the purpose of operating and promoting the Club. We are under no obligation to maintain any Comments in confidence (unless agreed otherwise in a separate NDA) or to pay compensation. We may remove content that we determine to be unlawful, offensive, threatening, libelous, or otherwise objectionable or in violation of any party's intellectual property or these Terms.

We reserve the right to immediately suspend or terminate your Services and membership in the event of any breach of these prohibited uses.
The Service, including all educational content and events, is provided 'as is' and 'as available' without any representation, warranties, or conditions of any kind. Sophron does not warrant that the results obtained from the use of the Service, including investment decisions based on our content, will be accurate, profitable, or reliable. To the fullest extent permitted by Dutch law, Sophron, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, punitive, or consequential damages (including lost profits, lost revenue, or loss of data) arising from your use of the Service or participation in events. Our liability shall in all cases be limited to the amount paid by you for the specific service or event giving rise to the claim, or, in the case of insured events, the amount paid out under our liability insurance policy. This limitation does not apply to damages caused by the intent or gross negligence (opzet of bewuste roekeloosheid) of Sophron's executive management.
You agree to indemnify, defend and hold harmless Sophron® and our partners, officers, directors, agents, contractors, licensors, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law or the rights of a third party..
In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed to be severed from these Terms, and such determination shall not affect the validity and enforceability of any other remaining provisions.
You may terminate your account or use of the Services at any time, subject to any specific cancellation periods related to active paid memberships. We reserve the right to immediately suspend or terminate your access to our Services without prior notice if, in our sole judgment, you fail to comply with any term or provision of these Terms or violate our community standards. Upon termination, you will remain liable for all amounts due up to and including the date of termination.
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Netherlands. Any disputes arising from or related to these Terms or our Services shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, unless mandatory consumer law prescribes otherwise.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. Pursuant to Article 6:230p of the Dutch Civil Code, the statutory right of withdrawal (cooling-off period) does not apply to services related to leisure activities, events, or workshops that are scheduled for a specific date or period. Consequently, ticket purchases are final upon payment.
We offer a voluntary cancellation policy. Registrations may be cancelled free of charge if a written request is received at least 48 hours prior to the scheduled start of the event. For cancellations received between 24 and 48 hours before the event, a refund of 50% of the booking amount will be issued. Cancellations made within 24 hours of the event, as well as failure to attend without prior notification ("no-show"), are non-refundable and may result in a no-show fee to cover incurred costs such as catering. Requests for rescheduling are subject to availability and must be communicated at least two hours in advance.

Account, AIC Plus and Premium. An account is free. AIC Plus is a paid membership of €5 per year, including VAT, billed once a year in advance through Stripe; you can cancel it at any time and it then remains active until the end of the year already paid for. AIC Plus gives access to registration for the events marked as requiring AIC Plus, some partner discounts and the AIC Plus card, for as long as it is active. Each event sets whether it is open to every account or requires AIC Plus or Premium, and a registration made while AIC Plus was active is not cancelled when it ends. AIC Plus gives access to registration only: it does not guarantee a place at any event, and for selection events the host decides who attends. While AIC Plus is active, the first year of Premium costs €10 instead of €15; AIC Plus then ends when Premium starts. The discount is the same whenever you upgrade and is not calculated pro rata. AIC Premium is a paid membership of €15 per year, including VAT, billed once a year in advance through Stripe. Premium gives access to the benefits listed on the membership page for as long as the membership is active, including everything in AIC Plus, the Sophron® Analyst Program, member prices and Premium-only events.
Start and right of withdrawal. AIC Plus, Premium, access to the Sophron® Analyst Program (beginning with its online onboarding) and the Options Course start immediately after payment. At checkout you expressly request this immediate start and acknowledge that you lose your statutory right of withdrawal once access has started (Article 6:230p Dutch Civil Code). Payments for AIC Plus, Premium, the program year and the Options Course are therefore not refunded, in whole or in part.
The Sophron® Analyst Program year. The one-time program fee of €18.15 gives one year of the Sophron® Analyst Program, counted from your first Team Selection seat. If you have not taken a seat within 200 days of paying, the year starts on day 200. The online onboarding is open from the moment of payment and does not start the year.
Cancelling AIC Plus or Premium. You can cancel AIC Plus or Premium at any time from the membership page or your account. Cancelling stops the next renewal; the plan then remains active until the end of the year already paid for. There is no refund for the remaining period.
When Premium or a program year ends. When Premium ends (after cancelling, a failed renewal payment, a refund or a payment dispute) or a program year runs out, the related benefits end: access to the Sophron® Analyst Program portal, member prices, Premium-only events and the virtual Carbon and Analyst cards. Points, badges, certificates, research and other results you earned remain yours.
Refunds and disputes. If a payment for AIC Plus is refunded or disputed, AIC Plus ends immediately. If a payment for Premium is refunded or disputed with your bank or card issuer, Premium ends immediately, and anything bought at a member price while that Premium was active (such as the Options Course at the member price) ends at the same time. The same applies to a refunded or disputed program year.
Deleting your account. If you delete your account, an active AIC Plus or Premium subscription is cancelled at once and not renewed. Payments already made are not refunded.
